November 20, 1997 SCCA TRADEMARK LAWSUIT SETTLED

November 20, 1997 ENGLEWOOD, Colo. This settlement provides as follows:

1) No later than January 1, 1998, PSR shall change its corporate name to "Professional Sports Car Racing."

2) No later than January 1, 1998, PSR shall answer its telephones using PSR's full corporate name, "Professional Sports Car Racing" or something other than "SPORTS CAR" alone.

3) No later than January 1, 1998, PSR shall permanently discontinue all use of its "SportsCar" trade name. PSR is free to adopt a new trade name consisting of and/or including the words "sports" and "car." However, in any new trade name, the two words "sports" and "car" must objectively visually appear to be separate and distinct and must always be presented in either all capital or all lower case letters. PSR also uses its trade name in connection with highly stylized logos; PSR need not change the highly stylized lettering of the words "sports" and "car", as used in connection with these or future developed highly stylized logos. However, PSR shall, no later than January 1, 1998, separate the words "sports" and "car," as used in any PSR highly stylized logo, so that the words "sports" and "car" will objectively visually appear to be two separate and distinct words.

4) PSR shall not use its trade name in connection with or on the cover of any periodically published organizational publication.

5) No later than January 1, 1998, PSR shall introduce its name changes, as required by this Agreement, to both the general public and trade through an official PSR press release.
